These Terms govern your access to and use of Compass (the "Service"), operated by Modern Classica Pty Ltd ("we", "us", "our"). By accessing or using the Service, or by connecting a Xero organisation, you agree to these Terms.
Compass connects to your (or your client's) Xero organisation with authorisation and produces cashflow forecasts, runway and payment alerts, and financial-ratio analytics for advisory purposes. Access to Xero data is read-only.
You must provide accurate information and are responsible for activity under your account. By connecting a Xero organisation you confirm you are authorised to grant access to that organisation's data. You may revoke access at any time via your Xero account (Connected apps).
The Service provides informational analytics generated from your accounting data. Forecasts are estimates based on available data (e.g. invoice and bill due dates) and assumptions; actual results will differ. The outputs do not constitute financial, accounting, investment, taxation or legal advice. You are responsible for verifying figures and for any decisions made. Where professional advice is required, consult a qualified adviser.
You must not misuse the Service, attempt to access data you are not authorised to access, reverse engineer it, or use it unlawfully or to infringe others' rights.
Where fees apply, they will be communicated to the Firm. Unless stated otherwise, fees are exclusive of taxes and non-refundable except as required by law (including the Australian Consumer Law).
The Service relies on third parties including Xero and Cloudflare. Your use of Xero remains subject to Xero's own terms. We are not responsible for third-party services or their availability.
We and our licensors own all rights in the Service, excluding your data. You retain ownership of your data; you grant us a limited licence to process it solely to provide the Service.
The Service is provided "as is" and "as available". To the maximum extent permitted by law, we exclude all warranties not expressly stated. Nothing in these Terms excludes rights you may have under the Australian Consumer Law that cannot lawfully be excluded.
To the maximum extent permitted by law, we are not liable for indirect, incidental or consequential loss, or for loss of profits, revenue or data, arising from your use of the Service. Where liability cannot be excluded, our total liability is limited to the amount you paid for the Service in the 12 months before the claim (or, where no fee was paid, AUD $100).
You may stop using the Service and disconnect Xero at any time. We may suspend or terminate access for breach of these Terms or to comply with law. On termination, stored tokens and cached data are deleted as described in our Privacy Policy.
These Terms are governed by the laws of Victoria, Australia, and you submit to the non-exclusive jurisdiction of its courts.
We may update these Terms from time to time; the current version is always available at this URL.
